These Terms of Service ("Terms") are a legal agreement between you ("you," "your") and Hailo LLC, a Colorado limited liability company ("Hailo," "we," "us," "our"), governing your access to and use of the Hailo platform, including the desktop application, web application, and all associated services (collectively, the "Service").
By creating an account, installing Hailo, or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Hailo is an all-in-one platform for filmmakers. It provides tools to manage clients, edit footage, and deliver finished work, including (without limitation):
- Client and project management
- Communication and scheduling integrations (Gmail, Google Calendar, and others)
- Footage processing, organization, and editorial assistance
- Branded client delivery pages
- Invoicing and payment workflows through third-party processors
Features available to you depend on your subscription tier and the integrations you choose to connect.
2. Accounts
You must provide accurate registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at support@hailo.studio if you suspect unauthorized access.
You must be at least 18 years old to use Hailo.
3. Subscription, billing, and refunds
- Hailo is offered as a paid subscription. Pricing is shown on hailo.studio and at signup.
- Subscriptions renew automatically each billing period at the then-current rate unless cancelled before the renewal date.
- Payments are processed by Stripe; you authorize Hailo and Stripe to charge your payment method for all fees.
- A small application fee may also apply to payments your clients make to you through Hailo (currently 0.5% on Stripe Connect-routed payments). This fee is disclosed in your settings before any payment is processed.
- Cancellations take effect at the end of the current billing period. We do not pro-rate unused time.
- All fees are non-refundable except where required by law.
4. Your content
You retain all rights to the content you upload to or create within Hailo, including footage, photos, client records, brand assets, and final deliverables ("Your Content").
You grant Hailo a limited, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as needed to operate the Service for you (e.g., rendering a delivery page, sending an email on your behalf, generating an edit). This license terminates when you delete the content or close your account, subject to the retention windows in our Privacy Policy.
You represent and warrant that you have the rights necessary to upload Your Content and to grant Hailo the license above, and that Your Content does not infringe any third party's rights.
5. Acceptable use
You agree not to:
- Use the Service to violate any law, regulation, or third-party right
- Upload or transmit content that is unlawful, infringing, defamatory, harassing, or sexually exploitative of minors
- Send spam or unsolicited commercial email through Hailo's integrations
- Attempt to interfere with, probe, or reverse-engineer the Service or its security
- Use automated means to scrape or extract data from the Service beyond what the official API (if any) allows
- Resell or sublicense the Service without our written permission
- Misrepresent your identity or impersonate another person
- Use the Service in any way that violates the terms of any connected third-party service (including Google's Terms of Service for connected Gmail/Calendar accounts)
We may suspend or terminate your account for violations.
6. Third-party services and integrations
Hailo integrates with third-party services including Google (Gmail, Calendar), Stripe, Square, and others. Your use of those services is governed by their own terms and privacy policies. Hailo is not responsible for third-party services and does not guarantee their availability.
When you connect a third-party account, you authorize Hailo to access that account on your behalf for the specific scopes you grant. You can disconnect any integration at any time in Settings.
7. Intellectual property
The Service, including all software, design, copy, and branding, is owned by Hailo LLC and protected by intellectual-property laws. These Terms do not grant you any right to use the Hailo name, logo, or trademarks except as needed to identify your use of the Service.
We welcome feedback. If you send us suggestions, you grant us a perpetual, royalty-free license to use them without restriction.
8. Beta and experimental features
Hailo may make beta or experimental features available. These are provided as-is, may change or be removed without notice, and are not subject to any service-level commitments.
9. Disclaimers
Hailo is a tool that assists your workflow; you remain solely responsible for the content you create, the emails you send through it, the calendar events you create, the invoices you send, and the deliverables you provide to your clients.
10. Limitation of liability
Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the smallest amount permitted by law.
11. Indemnification
You agree to indemnify and hold harmless Hailo LLC and its officers, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your breach of these Terms, or your violation of any third-party right.
12. Termination
You may cancel your account at any time from inside Hailo or by emailing support@hailo.studio.
We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the Service to you creates a material risk for Hailo or other users. We will use reasonable efforts to notify you in advance unless doing so would be unsafe or unlawful.
On termination, your right to use the Service ends. The provisions of these Terms that by their nature should survive (including Sections 4, 7, 9, 10, 11, 13, and 14) will survive.
13. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Denver County, Colorado, and you and we consent to the personal jurisdiction of those courts.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced inside the Hailo app and via email to the address on file. Continued use of the Service after the changes take effect constitutes acceptance.
15. Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and Hailo regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
